Zhilingxin takes 99% of Chunxing Precision restructuring vehicle

Chip designer Zhilingxin has taken a 99% stake in the vehicle leading Chunxing Precision's restructuring, betting a listing detour can fund its edge-AI chips.

Nanjing Zhilingxin Technology has taken 99% of the vehicle leading the restructuring of Chunxing Precision, a loss-making die-caster under delisting risk, corporate records show — putting an edge-AI chip designer in line to control a listed shell.

The structure, visible only through ownership filings rather than any announcement, shows how unlisted chipmakers are turning to restructuring to reach public markets while IPO reviews stay slow and semiconductor valuations come under pressure.

A shell around a 99% stake

Tianyancha, a corporate records database, shows Nanjing Zhilingxin Technology Co Ltd subscribed 19.8 million yuan (about $2.8 million) for its stake in Nanjing Juxingwei Enterprise Management Consulting Partnership (LP), or 99% of the partnership.

Juxingwei is the lead member of the consortium confirmed as restructuring investor for Chunxing Precision. It is a single-purpose investment vehicle. Zhilingxin did not step forward itself to sign the letter of intent.

The arrangement keeps control of the economics and the decisions with the chip company. It also walls off Chunxing's legacy liabilities and litigation risk from Zhilingxin's asset-light balance sheet, while preserving its say over any share issuance, asset injection or industrial cooperation that follows.

Why Chunxing needs a rescuer

Chunxing Precision once supplied radio-frequency components and precision aluminium alloy castings to Huawei and other telecom equipment giants during the 4G base-station buildout.

Margins collapsed as competition in conventional base-station filters intensified. The company's former controlling shareholder was hit with heavy regulatory penalties over insider trading. Chunxing has since been caught in a cycle of large debt litigation, credit downgrades and operating losses.

Its asset-liability ratio remains high and net assets are under sustained pressure. Without a debt restructuring and a real capital injection from an investor within the statutory window, the company faces liquidation and delisting.

A back door to the capital markets

Zhilingxin designs edge-AI chips, with product lines spanning high-precision analog chips, automotive-grade control chips and power semiconductor devices.

That business demands hundreds of millions of yuan of research spending and deep hardware integration with automakers and telecom equipment makers. Chunxing, despite its finances, brings years of precision mould development, aluminium-magnesium high-precision die-casting and automated CNC machining in Suzhou and Dongguan. It also holds overseas automotive component certifications and interfaces into Tier 1 supply chains such as Tesla and Continental.

Zhilingxin's plan is to combine computing and precision manufacturing. In the near term, a capital-reserve share conversion under the restructuring plan would give it a controlling base in a listed company at a low price, creating both a listing platform and a funding channel. Longer term, it aims to embed its edge-computing modules, power management and automotive-grade power devices into Chunxing's EV control housings, domain-controller structural parts and 5G communication cavities.

Obstacles remain

No restructuring investment agreement has been signed. Chunxing Precision remains in out-of-court restructuring, the company has said.

The first test is creditors. Bank mortgage holders and upstream and downstream suppliers hold conflicting views on debt extension periods, cash repayment ratios and the price at which converted shares are accepted in lieu of debt. Whether Zhilingxin can offer a discounted repayment plan they accept, without diluting itself too far, will decide whether a deal is signed and accepted by the court.

The second is integration. Chip design is a high-margin, asset-light business built on research; precision die-casting is a heavy-asset, energy-intensive industry judged on scale and yield. Their corporate cultures, pay structures and management logic differ sharply.

The 99% subscription on Tianyancha sends a clear signal to distressed-asset investors and the semiconductor industry. Rescuing delisting candidates through concept alone is over. Industrial capital is now using the restructuring toolkit to rebuild high-end technology on top of traditional manufacturing. Zhilingxin has secured its bridgehead through a compliant structure. Whether that structure clears the competing interests in play is a question Chunxing Precision must answer before any industrial registration change is completed.
